Terms and conditions

These Terms and Conditions govern your engagement by Clubtickets and yourself as an ambassador to promote products or services using the Ambassador Program. By promoting the links you are provided, you accept the Terms and Conditions. We may change the Terms and Conditions at any time with our without notice to you. Accordingly, you should refer to these Terms and Conditions from time to time to ensure you remain aware of the current terms and conditions. Your continued engagement with Clubtickets as an ambassador after any Terms and Conditions update constitutes your acceptance of the amended terms.

Prohibited Activities.

You will ensure that your Content does not include:

  1. images or likenesses of any minors or of any person without authorization;

  2. political materials;

  3. software viruses;

  4. links to external websites;

  5. solicitations or advertisements for any products or services that you have not been engaged to promote under the applicable agreement

  6. materials that infringe any third-party patent, copyright, trademark, tradename, trade secret, right of publicity or privacy, intellectual property rights, or other proprietary rights; or

  7. materials that are illegal, obscene, threatening, defamatory or libelous, or otherwise contain any objectionable or inappropriate content or nudity or is otherwise offensive, as determined by Amazon in its sole discretion.

Permissions.

Clubtickets grants you a limited, non-exclusive, non-transferable, non-assignable, non-sub- licensable, revocable right and license to display Clubtickets Materials solely on the Ambassador Program to perform under the applicable agreement.

Non-exclusivity.

Clubtickets may engage third parties, or undertake its own activities, that may or may not be similar to the transactions contemplated by any ambassador or competitive with your business, products or services.

Content removal.

  1. If you directly or indirectly cause or commit any act that, in Clubtickets sole discretion, brings you or Clubtickets into public disrepute, or otherwise harms Clubtickets reputation, or if you breach the terms and conditions herein, in addition to any other remedies available under an ambassadorship or at law or equity, you will, at Clubtickets request, refund any payments made for the Services and will immediately remove all Content and Clubtickets Materials from all media and cease publishing them.

  2. Clubtickets may also request at any time and in its sole discretion that you remove all Content and Clubtickets Materials from all media and cease publishing them and you will immediately comply.

Representations and Warranties.

You represent and warrant that you are at least 18 years old and acceptance of these Terms and Conditions doesn’t conflict with any existing commitment on your part.

Limitations on Liability.

Clubtickets will not be liable for (a) any loss of data, loss of profits, cost of cover or other special, incidental, consequential, indirect, punitive, exemplary or reliance damages arising from or in connection with this Terms and Conditions, however caused and regardless of theory or liability; or (b) direct damages in connection with any agreement that exceeds the amount of fees Clubtickets paid to you under the applicable agreement for the twelve-month period immediately preceding the date on which the event giving rise to the most recent claim of liability occurred.

Independent Contractor.

These Terms and Conditions and any agreement will not create a joint venture, partnership or other similar business relationship or entity of any kind, or an obligation to form any such relationship or entity. Each party will act as an independent contractor and not as the other party’s agent for any purpose, and neither party will have the authority to bind the other party, nor hold itself out to any third party as having any authority to bind or enter into any agreement on the other party’s behalf.

Assignment.

You may not assign any parts of these Terms and Conditions or any of your rights, interests or obligations contained in it to any other person or entity without Clubtickets prior written consent.

Taxes.

It’s the ambassador’s obligation to pay taxes in their country of tax residence for the commissions received when selling and promoting services through the Ambassador Program.

For those ambassadors with tax residence in Spain, they are obliged to issue Clubtickes with an invoice with a breakdown of the net price of commission and VAT (21%).

For those ambassadors that do not have tax residence in Spain, they must present a receipt of payment for the commissions received.
